JUDGEMENT BANDS

END USER LICENSE AGREEMENT

This End User License Agreement applies to the Judgement Bands Excel add-in, including the installer, software files, documentation, updates, and related services.

By installing, activating, copying, or using Judgement Bands, you agree to this Agreement. If you do not agree, do not install or use the Software.

1. License

Subject to payment of any required fees and your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable license to install and use Judgement Bands for your own personal or internal business use.

Judgement Bands is licensed, not sold. We retain all ownership rights in the Software.

2. Permitted Use

You may use Judgement Bands to help format, classify, score, visualize, and review spreadsheet data in Microsoft Excel.

Unless your purchase terms say otherwise, one license key is for one user. A reasonable number of activations may be allowed for that same user across their own devices.

3. Restrictions

You may not:

(a) resell, rent, lease, sublicense, distribute, or commercially host the Software;
(b) share your license key with unauthorized users;
(c) reverse engineer, decompile, disassemble, modify, or create derivative works from the Software, except where allowed by law;
(d) remove copyright, trademark, licensing, or proprietary notices;
(e) use the Software to build or help build a competing product;
(f) bypass, disable, tamper with, or circumvent any trial, activation, licensing, security, or usage-control feature;
(g) use the Software for unlawful, fraudulent, abusive, or harmful purposes.

4. Trial Use

If Judgement Bands is provided as a trial, you may use it only during the trial period and only for evaluation. After the trial expires, you must purchase a valid license to continue using the Software.

We may change, limit, or discontinue trial availability at any time.

5. Activation and License Validation

Judgement Bands may require activation or periodic license validation. This may involve communication with licensing systems or third-party service providers.

We may suspend or deactivate a license key if we reasonably believe it was obtained fraudulently, shared improperly, refunded, charged back, abused, or used in violation of this Agreement.

6. Updates

We may provide updates, fixes, enhancements, or new versions at our discretion. Some updates may be required for compatibility, security, licensing, or continued functionality.

This Agreement applies to updates unless a different agreement is provided.

7. Third-Party Platforms and Services

Judgement Bands works with Microsoft Excel, Microsoft Office, Windows, licensing services, payment processors, and other third-party platforms or services.

We are not responsible for changes, outages, limitations, incompatibilities, security issues, or policies of third-party platforms or services.

8. No Financial, Investment, or Professional Advice

Judgement Bands is a spreadsheet visualization, classification, and formatting tool.

Judgement Bands does not provide financial advice, investment advice, trading advice, accounting advice, tax advice, legal advice, engineering advice, safety advice, compliance advice, business advice, or any other professional advice.

The Software does not recommend whether to buy, sell, hold, invest, trade, lend, approve, reject, operate, certify, or take any other action.

Any thresholds, bands, labels, colors, classifications, scores, outputs, or visual indicators are user-defined or generated from user-provided spreadsheet data. They are not recommendations from Judgement Bands.

You are solely responsible for:

(a) verifying your data;
(b) setting and reviewing your own thresholds and classifications;
(c) checking formulas, spreadsheet logic, and outputs;
(d) validating results before relying on them;
(e) making your own decisions using your own judgment and professional standards.

You acknowledge that spreadsheets, formulas, source data, assumptions, thresholds, bands, and visual classifications may contain errors, omissions, inaccuracies, or limitations.

9. Backups and Data Protection

You are responsible for maintaining backups of your spreadsheets, workbooks, files, systems, and data.

Before using Judgement Bands on important files, you should save backups and review the results carefully.

10. No Warranty

Judgement Bands is provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, compatibility, and error-free operation.

We do not guarantee that Judgement Bands will meet your requirements, operate without interruption, be error-free, work with every version or configuration of Excel, Office, Windows, or your computer environment, or produce any particular result.

11. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost savings, business interruption, loss of data, spreadsheet errors, decision errors, loss of goodwill, or the cost of substitute goods or services.

To the maximum extent permitted by law, our total liability arising out of or relating to Judgement Bands or this Agreement will not exceed the amount you paid for the Software in the twelve months before the event giving rise to the claim.

12. Refunds

Refunds, if any, are handled according to the refund policy shown at the time of purchase and/or the policies of the payment processor or merchant of record used for the transaction.

13. Intellectual Property

Judgement Bands, including its code, design, workflow, user interface, documentation, trademarks, trade names, and related materials, is owned by us or our licensors and is protected by intellectual property laws.

All rights not expressly granted in this Agreement are reserved.

14. Termination

This Agreement remains in effect until terminated.

Your rights under this Agreement terminate automatically if you breach it. Upon termination, you must stop using Judgement Bands and uninstall or delete all copies in your possession or control.

The sections on restrictions, intellectual property, user responsibility, disclaimers, no warranty, limitation of liability, governing law, and any other terms that should reasonably survive termination will continue to apply.

15. Governing Law

This Agreement is governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict of law principles.

Any dispute arising out of or relating to this Agreement or Judgement Bands will be brought in the courts located in Alberta, Canada, unless applicable law requires otherwise.

16. Changes to this Agreement

We may update this Agreement from time to time. If we make material changes, we may provide notice through the Software, website, installer, purchase flow, or other reasonable means.

Continued use of Judgement Bands after an updated Agreement becomes effective means you accept the updated Agreement.
